Acceptance of Terms

By creating an account or using ProAm, you agree to these Terms of Service. If you do not agree, do not use the service.

Account Responsibilities

You are responsible for maintaining the security of your account. You must provide accurate information when creating your account. You must be at least 13 years old to create an account.

Fair Play

Users must report match results honestly. Deliberately falsifying match outcomes, manipulating ELO ratings, or colluding with other users to distort rankings will result in account suspension or permanent ban.

Subscription & Payments

Premium subscriptions are billed monthly ($4.99) or annually ($49.99). You may cancel at any time. Refunds are handled according to the app store's refund policy.

Termination

We reserve the right to suspend or terminate accounts that violate these terms, engage in unsportsmanlike conduct, or abuse the platform.

Welcome to ProAm ("the App," "we," "us," or "our"). By accessing or using the App, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

1. Acceptance of Terms

By creating an account, accessing, or using ProAm, you confirm that you are at least 13 years of age and agree to comply with and be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Description of Service

ProAm is a mobile platform that enables users to create, track, and rank competitive matches across a variety of activities and sports. The App provides tools for organizing competitions and tournaments, recording match results (with optional witness verification), tracking ELO-based individual and team rankings, forming and managing teams, discovering local venues and venue promotions, exchanging direct messages, engaging in match-specific chat, and following other users through a social feed. We do not organize, supervise, or officiate any physical activities, matches, or competitions.

3. User Accounts

You may create an account using an email address and password, or by signing in through a third-party authentication provider such as Google or Apple. You may also link a phone number to your account for sign-in and account recovery purposes. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. When you sign in through a third-party provider, you authorize us to access the profile information (such as name and email) made available by that provider. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate accounts that violate these Terms or that contain false or misleading information.

4. Gender Classification and Matchmaking

ProAm requires all users to declare their gender (Male or Female) during account registration. This declaration is used to enforce gender-based matchmaking rules designed to promote fair and equitable competition.

GENDER-BASED MATCHMAKING: By default, male users may only compete against other male users, and female users may only compete against other female users. This restriction applies to all match types, including informal (casual) and formal (ranked) matches, open challenges, and team competitions. Certain categories designated as "mind sports" (including but not limited to Chess and Trivia) are exempt from gender-based matchmaking restrictions and permit cross-gender competition.

MIXED-GENDER TEAMS: Teams may be designated as "Mixed" during creation, allowing both male and female players on the same roster. Mixed teams are subject to the following rules: (a) Mixed teams may only compete against other mixed teams — they cannot be matched against single-gender teams; (b) To be eligible to compete, a mixed team must maintain a gender composition where at least 40% of the playing roster belongs to the minority gender (e.g., a 5-player mixed team must have at least 2 players of the underrepresented gender); (c) The App will verify this composition requirement before allowing a mixed team to initiate or accept a team challenge; (d) If a mixed team falls below the 40% threshold due to roster changes, the team will be unable to compete until the composition requirement is met.

ACCURACY OF GENDER DECLARATION: You agree to provide an accurate gender declaration during registration. Providing a false or misleading gender declaration to gain a competitive advantage or circumvent matchmaking restrictions is a serious violation of these Terms. If ProAm determines that a user has misrepresented their gender, the account may be suspended or permanently banned without prior notice.

GENDER FOR MANAGED ACCOUNTS: Managing Parents must provide an accurate gender declaration for each Managed Player at the time of account creation. The same matchmaking restrictions and accuracy requirements apply to Managed Player accounts.

GENDER DATA: Gender information is displayed on user profiles, leaderboards, message boards, and other areas of the App to facilitate gender-appropriate matchmaking and competition. Gender data is collected and processed in accordance with our Privacy Policy as described in Section 15.

5. Parent-Managed Accounts and Minors

ProAm allows parents or legal guardians ("Managing Parent") to create and manage accounts on behalf of players between the ages of 7 and 15 ("Managed Players") through the Parent-Managed Accounts feature. By creating a Parent-Managed Account, you represent and warrant that you are the parent or legal guardian of the Managed Player and that you have the legal authority to consent to these Terms on their behalf.

The Managing Parent is solely responsible for all activity conducted through Managed Player accounts, including match participation, competition entries, messaging, and any interactions with other users. The Managing Parent must supervise the Managed Player's use of the App and ensure it is appropriate for the player's age and maturity level.

AGE VERIFICATION: You must provide the Managed Player's accurate date of birth or age at the time of account creation. Providing false or misleading age information is a serious violation of these Terms. If ProAm determines that a Managed Player's age has been misrepresented, both the Managing Parent's account and the Managed Player's account will be permanently banned from the platform without prior notice or opportunity to appeal.

MATCHMAKING RESTRICTIONS: To protect younger players, Managed Players may only compete against opponents who are within one year younger of their stated age, or any age older. No matches are permitted against players more than one year younger than the Managed Player. These restrictions are enforced automatically and cannot be overridden.

PROTECTIONS FOR USERS UNDER 16: ProAm is committed to the safety of minors. Users ages 7–15 may only access the App through a Parent-Managed Account. We do not knowingly collect personal information directly from children under 13. If we become aware that a child under 13 has provided personal information without verifiable parental consent, we will take steps to delete that information. Managing Parents may request deletion of their Managed Player's account and all associated data at any time.

MANAGED ACCOUNT RESTRICTIONS: To protect minors, the following restrictions are automatically enforced on all Parent-Managed Accounts and cannot be overridden: (a) Managed Players cannot interact with non-managed (adult) accounts — they may only compete against, friend, and team up with other Managed Players; (b) Direct messaging features are fully disabled for Managed Players; (c) The Discover map and location-based features are not available to Managed Players; (d) Teams created by or for Managed Players are restricted to invite-only or password-protected access and may only include other Managed Players of the same age or older; (e) Managed Players will not appear in user search results for non-managed accounts; (f) All activity on a Managed Player account is visible to and controlled by the Managing Parent. These restrictions are enforced at both the application and server level.

MANAGED ACCOUNT SUBSCRIPTIONS: Managed Players cannot purchase subscriptions directly. A Managing Parent's active Premium subscription extends to all of their Managed Players for the duration of the subscription.

The Managing Parent agrees to indemnify ProAm against any claims arising from a Managed Player's use of the App, including claims related to physical injury during activities, disputes with other users, or violations of these Terms.

6. Assumption of Risk and Liability Disclaimer

BY USING PROAM, YOU ACKNOWLEDGE AND AGREE THAT PARTICIPATION IN ANY PHYSICAL ACTIVITY, SPORT, COMPETITION, OR MATCH — WHETHER ORGANIZED THROUGH THE APP OR OTHERWISE — CARRIES INHERENT RISKS, INCLUDING BUT NOT LIMITED TO BODILY INJURY, PROPERTY DAMAGE, DISABILITY, OR DEATH.

You voluntarily assume all risks associated with your participation in any activities facilitated, tracked, or discovered through the App. ProAm, its officers, directors, employees, agents, and affiliates shall not be liable for any injuries, damages, losses, or claims arising from or related to your use of the App or your participation in any activities, competitions, or matches.

We strongly recommend that all users consult with a physician before engaging in physical activity, carry appropriate insurance, and use proper safety equipment at all times.

7. Matches, Results, Witness Verification, and Disputes

ProAm supports two categories of matches: informal (casual) matches, which are unranked, and formal (ranked) matches, which affect your ELO rating and require a designated witness for verification. The App provides tools for recording match results and resolving scoring disagreements; however, ProAm does not officiate matches, and final responsibility for honest reporting rests with the participants.

MATCH RESULTS AND PLAYER CONSENSUS: When a match ends, each player submits a result. If both players agree, the match is recorded automatically and ELO, leaderboards, and statistics are updated. If players disagree, the match enters a pending verification or disputed state and may be resolved through the witness, the dispute system, or further player consensus.

WITNESS VERIFICATION: A witness designated for a formal match may verify the outcome by recording the final score (optional) and awarding the winner. A witness-verified result is treated as a first-class completed match and updates ELO, leaderboards, and statistics identically to a player-consensus result. The witness must not be a participant in the match (and, for team matches, must not be a member of either competing team). Witnesses agree to act honestly and impartially. False, biased, or collusive witness verification is a serious violation of these Terms and is subject to enforcement under Section 13.

FORFEIT: A player may forfeit a match at any time before the match reaches a terminal state. Forfeit awards the win to the opponent and updates ELO and statistics as a normal completed match. Forfeit is irreversible.

MATCH CANCELLATION: A match may be cancelled — recording no winner and no ELO change — through two paths: (a) PLAYER VOTE: a competing player may request to cancel a match. The cancellation takes effect when a majority of competitors (at least 50%, but no fewer than two competitors) confirm the request; (b) WITNESS CANCELLATION: in a formal match with a designated witness, the witness may unilaterally cancel the match — without majority player consent — if a rules violation or other circumstance prevents fair play. Witness cancellation is irreversible.

DISPUTE SYSTEM: A player may submit a dispute regarding a match outcome, witness action, or alleged rules violation. ProAm may investigate disputes and take enforcement action at our sole discretion, including but not limited to overturning match results, adjusting ELO ratings, removing badges, and suspending or banning users. Decisions made by ProAm in connection with disputes are final.

DISPUTES BETWEEN USERS: ProAm is not responsible for resolving personal disputes, conflicts, or disagreements between users — whether related to match outcomes, competition conduct, sportsmanship, or any other matter. Users are solely responsible for resolving any disputes among themselves. We reserve the right, but have no obligation, to intervene in disputes at our sole discretion.

8. Teams, Team Captains, and Coaches

You may create or join a team subject to the activity-specific roster size and composition requirements published in the App. Each active team has one captain ("Team Captain") who — together with any coach granted equivalent permissions under the Team Coaches provision below — is authorized to: (a) send and accept team challenges; (b) submit, verify, dispute, forfeit, or request cancellation of team match results on behalf of the team; (c) manage team membership, including invitations and removals; (d) transfer the captain role to another team member; and (e) represent the team in tournaments and team competitions. By joining a team, you authorize the Team Captain to make these decisions on your behalf and acknowledge that team-level actions affect your participation record.

TEAM MATCHES AND TEAM ELO: A team match affects the team ELO of both competing teams and updates each team's wins and losses. Witness verification, forfeit, and match cancellation rules described in Section 7 apply to team matches with the Team Captain acting on behalf of the team. Individual ELO ratings are not directly affected by team match outcomes.

TEAM COMPOSITION: Teams must meet activity-specific roster size requirements before competing. Mixed-gender teams are subject to the additional rules described in Section 4. Teams created by or for Managed Players are subject to the additional restrictions described in Section 5.

DISBANDING AND LEAVING: A Team Captain may disband a team at any time. A team member may leave a team at any time. Disbanding and leaving do not erase historical match records or team statistics, which are preserved on the platform.

TEAM COACHES: A team may include non-playing members designated as coaches (currently up to two per team). A coach is not part of the team's playable roster and therefore does not count toward the team's roster size or gender-composition requirements, and coaching participation does not affect any individual ELO rating. A coach may be granted team-management permissions equivalent to those of the Team Captain, including the authority to manage membership and to submit, verify, dispute, forfeit, or request cancellation of team match results on behalf of the team. By joining a team as a coach, you accept these responsibilities and are responsible for the actions you take on the team's behalf; by joining a team as a player, you authorize any coach so empowered to act on your behalf to the same extent as the Team Captain. Coaching activity may be reflected in coaching statistics and achievements associated with your account.

9. Tournaments and User-Created Events

ProAm enables users to create and host tournaments, leagues, and competitions (collectively, "User-Created Events"). When you create a User-Created Event, you are solely responsible for: (a) setting accurate event details, including activity, location, format, schedule, and entry requirements; (b) enforcing the published rules of the activity; (c) communicating with participants and resolving participant questions before, during, and after the event; and (d) any prizes, fees, or other consideration associated with the event.

ProAm provides scheduling, bracket, and result-tracking tools but does not supervise, sanction, or officiate User-Created Events. Participation in a User-Created Event is at your own risk. The host of a User-Created Event agrees to indemnify ProAm against any claims arising from event organization, conduct, or outcomes.

TIER LIMITS: The number of User-Created Events you may host concurrently, and certain advanced event features, may be restricted by your subscription tier as described in Section 16.

We reserve the right to remove User-Created Events that violate these Terms, applicable law, or community standards.

10. Venues and Venue Promotions

ProAm displays venue information sourced from third-party providers (such as Google Places) and from users who add or claim venues. Venue information may be inaccurate, outdated, or incomplete. ProAm is not responsible for the accuracy of venue data, and we do not verify whether a venue welcomes the activities played there.

VENUE CLAIMS: A venue owner or authorized representative may claim a venue listing to manage promotional content associated with that venue. By claiming a venue, you represent and warrant that you are authorized to act on the venue's behalf. False or fraudulent venue claims are subject to suspension or permanent ban.

VENUE PROMOTIONS: Claimed venues may publish promotional offers, events, and deals within the App ("Promotions"). Promotions are created, controlled, and managed by the venue, not by ProAm. We do not guarantee the availability, accuracy, pricing, or honor of any Promotion, and we do not endorse any venue. Any dispute about a Promotion must be resolved with the venue directly. ProAm may collect analytics on Promotion views, follows, and clicks for the benefit of the publishing venue.

You agree not to publish false or misleading Promotions, impersonate a venue, advertise illegal goods or services, or use the venue promotion feature in any way that violates applicable advertising, consumer protection, or alcohol/tobacco/gambling laws.

11. Communications, Direct Messages, and Match Chat

The App provides several communication features, including direct messages between users ("DMs"), match-specific chat visible to the players and witness of a match, team chat, competition message boards, and a public social feed with reactions and comments.

By using these features, you agree to: (a) communicate respectfully and in compliance with the Acceptable Use section; (b) not send spam, advertising, or unsolicited promotional material; (c) not share private or sensitive personal information about other users without consent; (d) not use communication features to harass, threaten, intimidate, or stalk other users; and (e) not impersonate any person or entity.

BLOCKING: You may block another user at any time. Blocking prevents that user from messaging, challenging, witnessing, or otherwise interacting with you and removes them from your friends list.

MONITORING AND MODERATION: ProAm does not routinely monitor the contents of DMs but may review reported content, automatically flagged content, or content captured in match disputes to investigate violations of these Terms. ProAm reserves the right to remove user-generated content, suspend users, and ban users for violations, at our sole discretion.

MANAGED PLAYERS: Direct messaging is fully disabled for Parent-Managed Accounts as described in Section 5.

12. Acceptable Use

You agree not to: (a) use the App for any unlawful purpose; (b) harass, threaten, or intimidate other users; (c) submit false match results, falsely act as a witness, or manipulate rankings; (d) impersonate any person or entity; (e) interfere with or disrupt the App or its infrastructure; (f) attempt to gain unauthorized access to other users' accounts or our systems; (g) use automated means, scripts, or bots to access the App without our express permission; (h) circumvent matchmaking, age, or subscription restrictions; or (i) engage in any conduct that restricts or inhibits other users from using the App.

13. Activity Rules and Fair Play

ProAm publishes official rules for each supported activity within the App. All users are required to follow the designated rules for the activity they are competing in. These rules are non-negotiable and may not be modified, waived, or overridden by participants during a match or competition.

VIOLATION OF ACTIVITY RULES WILL RESULT IN A BAN. Any user found to be intentionally violating the established rules of an activity — including but not limited to cheating, manipulating game conditions, refusing to follow the official ruleset, colluding with a witness, or falsely reporting match results — will be subject to immediate suspension or permanent ban from the platform at ProAm's sole discretion. Repeated or egregious violations will result in permanent account termination without prior warning.

Users who witness rule violations during a match may report the incident through the App's dispute system. ProAm reserves the right to investigate reports and take enforcement action, including but not limited to overturning match results, adjusting ELO ratings, removing badges, and banning offending users.

14. User Content and Copyright

You retain ownership of content you submit through the App, including messages, match chat, team names, team icons, profile information, profile photos, venue submissions, social feed posts, and venue promotion content ("User Content"). By submitting User Content, you grant ProAm a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, distribute, and create derivative works of such content in connection with operating, promoting, and improving the App. You are solely responsible for your User Content and represent that it does not infringe on any third party's rights and complies with applicable law.

DMCA / COPYRIGHT NOTICES: If you believe content available on the App infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to support@proamladder.com. Your notice must include: (a) a physical or electronic signature of the copyright owner or authorized representative; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and information sufficient to locate it within the App; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on the copyright owner's behalf. We will respond to valid notices in accordance with the DMCA, which may include removing the allegedly infringing content and, where appropriate, terminating repeat infringers.

15. Data Collection and Privacy

We collect and process personal data in accordance with our Privacy Policy. By using the App, you consent to the collection, use, and storage of your data as described therein. Data collected includes, but is not limited to: account information (email, username, gender, phone number, date of birth for Managed Players); authentication data from third-party providers (such as Google or Apple); match results, ELO history, achievement badges, and competition statistics; match chat, direct messages, message board posts, and social feed content; location data when location permissions are granted (used for the Discover map, nearby venues, nearby competitions, and Proximity Verification described in Section 17); device information, including push notification tokens; subscription and billing metadata received from our payment processor; and usage analytics. Phone numbers are collected solely for authentication and account recovery purposes and are not shared with other users or third parties. Gender data is collected for the purpose of enforcing fair matchmaking as described in Section 4 and is displayed on your profile and in competition contexts. We implement industry-standard security measures to protect your data but cannot guarantee absolute security. If you deactivate your account, your data is retained but hidden from other users for the duration of the deactivation period as described in Section 24. You may permanently delete your account and all associated data through the App's Account Settings or by contacting us.

16. Subscriptions and Payments

Certain features of the App require a paid subscription ("Premium"). Subscription fees are billed in advance on a recurring basis (monthly or annually) at the rates displayed in the App at the time of purchase.

BILLING PROVIDER: Subscriptions may be processed through Paddle (acting as the merchant of record for web and in-app purchases where supported), the Apple App Store (for iOS purchases), or the Google Play Store (for Android purchases), depending on how you purchased the subscription. The billing terms, taxes, refund policies, and dispute procedures of the applicable provider apply to that subscription. You authorize the applicable provider to charge your payment method on each renewal until you cancel.

AUTO-RENEWAL: Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before the renewal date. You may cancel your subscription at any time through the App's subscription management screen or, where applicable, through your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period; you retain access to Premium features through that date.

REFUNDS: Except where required by applicable law, refunds are not provided for partial billing periods, unused features, or unintentional renewals. Refund requests for App Store and Google Play purchases must be submitted to those providers directly.

PRICE CHANGES: We reserve the right to modify subscription pricing with reasonable notice. Continued use of Premium features after a price change constitutes acceptance of the new pricing.

MANAGED PLAYERS: A Managing Parent's active Premium subscription automatically extends to all of their Managed Players for the duration of the subscription, as described in Section 5.

17. Notifications and Location Services

PUSH NOTIFICATIONS: If you enable push notifications, the App may send you notifications related to match invitations and updates, challenges, friend and team activity, message receipts, competition events, witness duties, venue promotions, and other App events. You may control which categories of notifications you receive in the App's notification settings, or disable notifications entirely through your device's settings. Push notifications are delivered through Apple Push Notification Service (APNs) and/or Google Firebase Cloud Messaging (FCM) and are subject to those providers' terms.

LOCATION SERVICES: With your permission, the App uses your device's location to: (a) display nearby venues, competitions, and active users on the Discover map; (b) populate match metadata with the city and state where a match was played; and (c) perform Proximity Verification, which confirms that you are physically present at a match location.

PROXIMITY VERIFICATION: Proximity Verification is used to deter remote cheating in matches and competitions. Location data collected for Proximity Verification is associated with the match record and may be reviewed in disputes. Proximity Verification may be required by certain activities, competitions, or tournaments.

You may revoke notification or location permission at any time through your device's settings. Revoking location permission may limit your ability to use location-dependent features and may make you ineligible for matches, competitions, or tournaments that require Proximity Verification.

18. Mobile App Store Terms

If you download the App from the Apple App Store or Google Play Store, your use of the App is also subject to that store's terms of service and end user license agreement. To the extent any term of these Terms conflicts with the terms of the App Store from which you obtained the App, the App Store terms govern only the relationship between you and the App Store.

APPLE-SPECIFIC TERMS: You acknowledge that these Terms are between you and ProAm, not with Apple, Inc., and that Apple is not responsible for the App or its content. Apple has no obligation to provide maintenance or support services with respect to the App. To the maximum extent permitted by applicable law, Apple will have no warranty obligation with respect to the App, and any claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty will be the sole responsibility of ProAm. Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, claims that the App fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection or similar legislation. Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the App infringes intellectual property rights. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

19. Intellectual Property

The App and its original content, features, and functionality are owned by ProAm and are protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

20. Third-Party Services

The App integrates with or contains links to third-party services, including but not limited to authentication providers (such as Google and Apple), mapping and venue providers (such as Google Places and Leaflet/CartoDB), payment processors (such as Paddle, the Apple App Store, and the Google Play Store), push notification providers (Apple Push Notification Service and Google Firebase Cloud Messaging), and cloud infrastructure providers. When you use a third-party service, your use of that provider's services is governed by their own terms and privacy policies. We are not responsible for the content, accuracy, privacy practices, or availability of any third-party service. Your use of third-party services is at your own risk and subject to those services' terms.

21. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OF MATCH RESULTS, ELO RATINGS, RANKINGS, VENUE INFORMATION, OR ANY OTHER USER-GENERATED OR THIRD-PARTY CONTENT WITHIN THE APP.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROAM, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE APP; (B) ANY PHYSICAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR PARTICIPATION IN ACTIVITIES; (C) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR YOUR PERSONAL INFORMATION; (D) ANY DISPUTES BETWEEN USERS, BETWEEN USERS AND VENUES, OR BETWEEN USERS AND USER-CREATED EVENT HOSTS; OR (E) ANY OTHER MATTER RELATING TO THE APP. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

23. Indemnification

You agree to indemnify, defend, and hold harmless ProAm, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the App; (b) your violation of these Terms; (c) your participation in any activities, competitions, matches, or User-Created Events; (d) your role as a witness, Team Captain, team coach, venue manager, or User-Created Event host; or (e) your violation of any rights of another person or entity.

24. Account Deactivation and Termination

ACCOUNT DEACTIVATION: You may deactivate your account at any time through the App's Account Settings. Deactivation hides your profile from all searches, leaderboards, and friend lists, and prevents other users from messaging, challenging, or interacting with you. While your account is deactivated, your data — including match history, ELO ratings, statistics, achievements, and profile information — is preserved on our servers. You may reactivate your account at any time by signing back in, at which point your profile and data will be fully restored. ProAm reserves the right to permanently delete deactivated accounts and their associated data after an extended period of inactivity (currently 12 months). We will attempt to notify you at your registered email address before permanent deletion occurs.

ACCOUNT DELETION: You may permanently delete your account through the App's Account Settings. Deletion is irreversible and will remove your profile, stats, ELO ratings, match history, messages, competition memberships, and all other associated data. If you have an active Premium subscription, it will be cancelled upon deletion but no refund will be issued for the remaining billing period.

TERMINATION BY US: We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the App will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnification, and limitations of liability.

25. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located within the United States, and you consent to the personal jurisdiction of such courts.

26. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms within the App and refreshing the "Last Updated" date at the top of this document. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
